SAP Maintenance & Support Commitments effective July 10, 2026

SAP has agreed to a set of key adaptations to enhance flexibility, transparency, and predictability of SAP’s on-premise ERP maintenance and support practices. Effective July 10, 2026, these improvements apply globally to all current and future SAP customers across all on-premise products. The commitment period is 10 years from the European Commission’s decision adopted under EU competition law as of July 10, 2026.

This is an overview of these adaptations; see respective links and documents below for full details:

SAP fully waives the Reinstatement Fee for all customers who wish to reinstate SAP maintenance and support services. SAP also commits to reducing the Back-Maintenance Payment so that it will be capped at the lower of:

  • 50% of the maintenance and support fees that would have been due for the Off Support Period, or
  • six (6) months' worth of payments of SAP maintenance and support services.

Additionally, SAP fully waives the back-maintenance payment for old SAP products with a dedicated license as listed in SAP Note 3776551.

Existing and new customers can split their landscape into several Commercial Installations to manage maintenance and support in line with their business needs and objectives. Relevant contractual provisions are updated so that it is clear that for each Commercial Installation customers will be able to choose between different SAP Support Models, different maintenance and support providers, or no maintenance and support at all.

The creation of multiple Commercial Installations or the splitting of their SAP landscape follows the definition of a Commercial Installation and in accordance with the requirements for splitting an SAP landscape as set out in the Landscape Split Program. Customers are free to decide how they allocate their existing licenses between separated Commercial Installations on the basis of these definitions.

A landscape split is easiest if products or installations are not technically integrated, as long as it is ensured that each resulting Commercial Installation remains a consistent entity capable of independently operating business functions, with a complete alignment of licenses and technical systems. Within SAP Note 3776551, SAP makes available:

a.       A non-exhaustive list of products or types of installations which SAP considers are not technically integrated

b.      A non-binding guideline as to what SAP usually considers to be technically integrated

A landscape split as such does not require the customer to purchase new licenses, as long as the licenses included in each Commercial Installation cover the customer’s use of SAP Software Solutions within each Commercial Installation. Customers may have to purchase additional licenses for a Commercial Installation depending on the customer’s intended use of the Commercial Installation. The discount applied to those additional licenses will at least follow the discount structure originally agreed between SAP and the customer. Splitting a landscape and creating two (or more) new Commercial Installations and potential termination of maintenance and support for one or more does not trigger repricing of licenses.

Requests to split an SAP landscape will be treated latest within six (6) months of the request. Provided all conditions are met and confirmed by SAP, such split will come into effect on the next January 1, April 1, July 1, or October 1, following the earlier of the end of the six (6) month period or the completion of SAP’s processing of the request.

The Initial Term for maintenance and support does not restart at every additional license purchase – whether these are additional licenses for previously licensed software products or new products. A Commercial Installation split does not trigger a new Initial term.

Single Metric Contracts offer customers the flexibility to calculate the maintenance base that determines the payments for SAP maintenance and support on the basis of a mutually agreed single metric (e.g. number of employees). SAP makes clear that it offers Single Metric Contracts to customers where the fees payable under the contract are more than EUR 500,000 at the time of the contract closing.

If there is an underutilization under a Single Metric Contract revealed by an audit, SAP will reduce the maintenance base used to calculate SAP maintenance and support fees up to a maximum of 20% per annum.

A Single Metric Contract will be valid for all licenses within a Commercial Installation. Customers with multiple Commercial Installations can have Single Metric Contracts with the same or a different metric for every Commercial Installation. The rules of the Single Metric Contract apply per Commercial Installation and customers with Single Metric Contracts can also make use of the possibility of creating separate Commercial Installations in accordance with the Landscape Split Program, as well as any other options set out in these Commitments.

SAP provides a number of alternative and cumulative options that customers can apply to reduce maintenance and support fees for unused licenses. Besides the existing partial termination policies (i.e., the Extension Policies), landscape splits and Single Metric Contracts, SAP offers customers the option to terminate licenses, and associated SAP maintenance and support, within a Commercial Installation, without the need to effect a landscape split and without re-discounting:

a.       For any of the products for which customer specific maintenance (colloquially often referred to also as “end of life”) is the only available maintenance phase; an overview of such products is provided in the Product Availability Matrix, accessible to all SAP customers via https://support.sap.com/en/release-(opens in new tab)upgrade-maintenance.html(opens in new tab).

b.      For any of the products where there is a Failed Implementation.

c.       Where there is insolvency or bankruptcy.

d.      A reduction of the customers’ workforce by more than 10% or more over a period of two years, applicable retroactively as of January 1, 2025.

For a., b. and d., a customer may terminate the relevant licenses on three months written notice prior to the end of the Initial Term or any renewal term. For c., termination will be in accordance with the relevant contractual terms relating to insolvency.

In divestiture scenarios, the buyer and the SAP customer are free to agree on the allocation of the existing user licenses held by the SAP customer and the divested business. In particular, the SAP customer may transfer any or all of the divested business’ user licenses to the buyer without the need to follow the rules of the Landscape Split Program. Such transfer does not entail any re-discounting or any additional transfer fees.

Any user licenses that would ordinarily have been licensed to the divested business before the transaction and that are not transferred to the buyer, the SAP customer may terminate such licenses, including the associated SAP maintenance and support, without re-discounting. Termination will be implemented at the latest on the next January 1, April 1, July 1, or October 1, following completion of the relevant transaction.
